Article 1

The name of the corporation is the Gulf States Superintendents Association.

Article II

This corporation shall exist in perpetuity unless dissolved.

Article III

This corporation is established to provide for and enhance the recognition of the golf course superintendent as a professional, and to collect and disseminate information to assist our members in providing for better maintenance and construction of our golf courses.  It also will work to advance the art of greenskeeping and the science of turfgrass management through various educational opportunities and promotion of scholarships and turfgrass related research.  

This corporation is organized exclusively for fraternal, educational, scholarship, and research purposes, including for such purposes, the making of distributions to organizations that qualify under section 501 © (3) of the Internal Revenue Code, or any corresponding section of any future federal tax code.

Article V

The names and places of residences of each of the initial directors of the Corporation are as follows:

Article VII

This corporation shall be a corporation not-for-profit and shall not have any capital stock.  The conditions, qualifications, privileges and obligations of membership shall be as set forth in the Bylaws of the Corporation.  Provision may also be made in the Bylaws for one or more classes of members who shall have no voting power.

Article VIII

The private property of the members shall not be subjected to the payments of the corporate debts of liabilities to any extent whatever.

Article IX

Both members, officers, and Board of Directors shall have the power, if the Bylaws so provide, to hold their meetings and have one or more offices within or without the State of Louisiana and to keep the books of this Corporation subject to the provisions of the statutes of Louisiana outside the State of Louisiana at such places as may from time to time be designated by the members, officers or Board of Directors.

Article X

Board of Directors: The Board of Directors shall not be less than six in number after the initial election held at the beginning of the calendar year after the Corporation is formed.
